Terms and Conditions of Service: Roland Lewis Coaching

1. Definitions

“Coaching” includes collaboration between Coach and Client to improve a Client’s executive functioning and action planning towards self-determined goals

“Consulting” includes providing advice and recommendations to Clients and/or Sponsors to address specific organisational, leadership or operational challenges

“Services” refers to both coaching and consulting and includes the understandings and details set out in any proposal letter

“Client” means the individual, team, group member or entity being coached

“Coach” means the coach(es) named in the proposal letter(es) or document(s) signed by the parties hereto

“Sponsor” means any party (including directors or representatives) responsible for payment of the Coach’s fees. Sponsor includes any employer of a Client

“ICF” refers to the International Coaching Federation

“ICF Code of Ethics” means the Code as revised 04282025

”OHS” refers to the Occupational Health and Safety Act 2004 (Vic)

‘OHS PHR” refers to the OHS (Psycholical Health) Regulations and the Compliance Code thereunder (edition 1 September 2025)

2. Scope of Services

The parties hereto agree that Services will be as set out in writing prior to the commencement of Services (whether in any proposal letter(s) or document(s) signed or accepted by the parties

If the Scope is expanded in any way during any part of Services, the parties must all agree upon any expansion and sign updated proposal letter(s) or document(s)

If there is no signature the updated expansion will none the less be deemed accepted by all parties hereto, if the Services are provided.

3. Good Faith

The parties hereto agree that they each will act in good faith at all times. This will be deemed to include any Client and any Sponsor undertaking all tasks and obligations promptly and with genuine commitment, including

· Attending sessions on time

· Acting honestly and actively

· Taking responsibility for decisions and actions

· Acting and completing any tasks or actions discussed or agreed upon

· Payment of fees as and when due

4. Confidentiality

The Coach will treat with complete confidentiality all conversations, notes, data and memoranda (“Material’) created during preparation for Services, during provision of the Services or afterwards

The coach will not disclose any part of the Material to anyone unless

· With consent of the relevant party or parties, or

· Required by law, or

· In compliance with the ICF Code

· In compliance with the OHS PHR

· Involves risk of serious harm to anyone

The coach will store all such Material securely

5. What is not Services

Services do not include any of the following (for which the Coach is neither trained licensed or permitted to provide) namely

· Medical advice

· Psychological advice

· Financial advice

· Therapy

· Counselling

6. Intellectual Property (“IP”)

All materials and concepts provided by the Coach are to remain the IP of the Coach unless otherwise agreed in writing

IP of any other party or entity which the Coach uses remains the IP of such party or entity and will be disclosed upon use

7. Recording & Documentation

The Client consents to the coach recording any part of any session provided this is solely used for professional development, supervision, de-identified marketing or quality assurance and may at any time withdraw consent and require existing recorded material to be permanently deleted.

8. Use of Assistive Technology and Artificial Intelligence (AI)

Any client information used in connection with AI tools will be de-identified as far as is practicable prior to processing and any personally identifiable or confidential information will be pseudonymised and de-sensitised before being entered into systems that collect, store or aggregate data unless those systems are controlled and secured by the Coach in accordance with the ICF Code of Ethics.

AI or digital tools may only be used by the Coach for post session reflection, transcription, marketing or Coach’s self review

AI will not be used to deliver any part of Coaching unless with express consent of Client and/or Sponsor

9. Client Rights and Choices

Client may at ant time make enquiry about any part of the Services, decline or withdraw consent for any part of Services and seek clarification of any aspect of Services

10. Termination

A party hereto may terminate any contract for Services at any time and without cause, by 7 days notice in writing delivered to the other(s).

Any fees owing to the coach and unpaid will immediately become due and payable save for fees incurred after the 7 days notice period

11. Limitation of Liability

The parties agree that no liability claim will exceed the fees paid

The parties indemnify the other(s) in relation to any claim which exceeds this express limitation

12. ICF

The coach is seeking accreditation with ICF and will seek to observe the ICF Code of Ethics at all material times

13. OHS PHR

The Coach will seek to observe all relevant parts of the OHS PHR at all material times

14. Dispute Resolution

The parties agree to first negotiate in good faith to resolve any dispute(s), then seek mediation in good faith and only resort to litigation after these steps have been taken.

15. Governing Law

The parties agree that the laws of Victoria apply and to submit any dispute(s) to the appropriate court(s) nearest Melbourne
